Terms of Service

These Terms of Service (our "Terms and Conditions") govern your use of the vibeedi service. Please read them carefully — by creating an account or using the service, you agree to them. Your use of the public website is also covered by our Terms of Use. If you do not agree, do not use vibeedi.

1. Who you are agreeing with

vibeedi ("vibeedi", "we", "us", "our") is operated by Vibe EDI. These Terms are a binding agreement between you (and, if you use vibeedi for an organization, that organization) and us. If you accept these Terms on behalf of an organization, you confirm you have authority to bind it.

2. What vibeedi does

vibeedi is an AI-assisted tool that turns a plain-English description and your sample files into data-mapping transformations for X12 EDI and JSON. You can generate, refine, test, store and manage those mappings per project. vibeedi is a development aid — not an EDI clearinghouse, a trading-partner network, or a system of record.

3. Eligibility and your account

  • You must be at least the age of majority where you live and able to form a binding contract.
  • You sign in through Google or Microsoft. You are responsible for keeping access to that account secure and for all activity under your vibeedi account.
  • Provide accurate information and let us know promptly of any unauthorized use of your account.

4. Plans, fees and billing

  • Plans. vibeedi offers a Free plan for Vibe Mapping and the paid Vibe EDI platform, billed per trading partner (currently $200 per trading partner per month, with no base fee). Vibe Mapping is included in the platform subscription. The Free plan has usage limits (for example, the number of generations, updates, transforms and the amount of storage) described in the product.
  • Payment. Paid plans are billed in advance through our payment processor, Stripe. We do not store your card details.
  • Auto-renewal. Paid subscriptions renew automatically for the same period until you cancel. You can cancel at any time; the cancellation takes effect at the end of the current billing period.
  • Refunds. Except where required by law, fees are non-refundable and partial periods are not refunded.
  • Taxes and changes. Fees are exclusive of taxes, which you are responsible for. We may change plan pricing or limits on reasonable notice; changes apply from your next billing period.

5. Your content and data

  • You own your content. The sample files, source/target data, mappings and other material you upload or generate ("Your Content") remain yours. We claim no ownership of Your Content.
  • Licence to run the service. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content solely to operate and provide vibeedi to you (including sending it to the AI providers described in Section 7 to produce a result), and to secure and support the service.
  • We do not train AI models on Your Content. We do not use Your Content to train our own or third parties' machine-learning models. Content sent to an AI provider is processed to return your result under that provider's enterprise/API terms, which exclude training on submitted data.
  • Aggregated, de-identified data. We may create and use aggregated, de-identified statistics (for example, counts and performance metrics) that cannot reasonably be linked to you or any individual, to operate, secure and improve the service.
  • Your responsibilities. You are responsible for Your Content and must have the rights to use it. Do not upload personal, regulated or confidential data you are not permitted to share, and do not upload anything unlawful or infringing.

6. AI-generated output — review before you rely on it

vibeedi uses large language models to generate mappings and suggestions. AI output can be incomplete, incorrect, or unsuitable for your specific data and trading partners. You are responsible for reviewing, testing and validating every generated mapping before using it in production. Do not rely on vibeedi output for anything where an error could cause loss without independently verifying it first. vibeedi does not guarantee that generated mappings are correct, complete, or fit for any particular purpose.

7. Third-party services

vibeedi relies on third parties to function, and your use of vibeedi involves them:

  • AI providers (Anthropic Claude, OpenAI, DeepSeek) — to generate and refine mappings.
  • Identity providers (Google, Microsoft) — for sign-in.
  • Stripe — for subscription billing.
  • Microsoft Azure — for hosting and data storage.

Your use of these services is also subject to their own terms. We are not responsible for third-party services, and they are not liable to you under these Terms.

8. Acceptable use

You agree not to:

  • use vibeedi for anything unlawful, infringing, or that violates others' rights;
  • upload malware, or data you do not have the right to use;
  • reverse engineer, decompile, or attempt to extract the source code of the service, except where that restriction is prohibited by law;
  • use vibeedi to build or train a competing product or service;
  • access the service with bots, scrapers, or other automated means except the interfaces we provide;
  • place an excessive or abusive load on the service, circumvent usage limits, or interfere with its security or operation;
  • resell, sublicense, or provide the service to third parties except as expressly allowed by your plan;
  • use vibeedi in violation of applicable export, sanctions, or trade-control laws, or use it if you are barred from doing so under those laws.

9. Our intellectual property and your feedback

vibeedi, including its software, design, branding and content (but excluding Your Content), is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service under these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the service, without obligation to you.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to provide or use the service and will protect it with reasonable care, except where disclosure is required by law.

11. Availability, changes and beta features

We aim to keep vibeedi available but do not promise any particular uptime, especially on the Free plan. We may modify, suspend or discontinue features, perform maintenance, or impose limits at any time. Features labelled beta, preview or experimental are provided without warranty and may change or be removed.

12. Disclaimer of warranties

The service and all output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that output will meet your requirements.

13. Limitation of liability

To the maximum extent permitted by law, vibeedi and Vibe EDI will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of (or inability to use) the service, even if advised of the possibility. Our total liability for all claims relating to the service is limited to the greater of (a) the fees you paid us for the service in the 12 months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You will defend, indemnify and hold harmless vibeedi and Vibe EDI from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the service, or your breach of these Terms or of any law or third-party right.

15. Term, suspension and termination

  • These Terms apply while you use vibeedi. You may stop and close your account at any time.
  • We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that risks harm to others or to the service.
  • On termination, your right to use the service ends. You can export Your Content before your account closes; after closure we delete or anonymise Your Content and associated personal data as described in our Privacy Policy, subject to legal retention obligations. Sections that by their nature should survive (for example 5, 6, 9, 12–14, 16) survive termination.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You and we agree to first try to resolve any dispute informally by contacting each other. If that fails, the dispute will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, and each party consents to that venue.

17. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable notice. Continuing to use vibeedi after changes take effect means you accept the updated Terms.

18. General

These Terms (with the Privacy Policy) are the entire agreement between you and us about the service. If any provision is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of our business. Neither party is liable for delays caused by events beyond its reasonable control.
